Credit Terms

INTRODUCTION

These Credit Terms govern the purchase, grant, holding, and use of Credits on the Fanvue Platform. They apply to any User who holds, purchases, or receives Credits, whether by top-up, through a promotional campaign, or by any other means by which Credits are added to a User Balance.

These Credit Terms supplement the General Terms & Conditions and all other applicable Fanvue Policies. They form part of the Ancillary Terms referred to in the General Terms & Conditions. If there is any conflict between these Credit Terms and the General Terms & Conditions in relation to Credits specifically, the terms of these Credit Terms shall prevail for the specific subject matter they govern.

All defined terms used herein shall have the meaning assigned in the General Terms & Conditions, unless otherwise stated.

These Credit Terms take effect on 24th April 2026 (the “Effective Date”). By purchasing, receiving, holding, or using Credits on or after the Effective Date, you confirm that you have read, understood, and accepted these Credit Terms.

Application to existing Credit balances. These Credit Terms formalise the position that has previously applied to Credits on the Platform. To the extent that the substantive nature of Credits (as a limited, non-transferable licence to use digitised tokens on the Platform, and not as money or stored value) has previously operated as an implied term of your use of the Services, these Credit Terms now set out that position expressly. The time-based expiry provisions in Section 4 apply as follows to Credits held by you on the Effective Date:

  1. The expiry rules for Purchased Credits apply to all Purchased Credits, including those acquired before the Effective Date. For Purchased Credits acquired before the Effective Date, the Inactivity Period that triggers expiry is calculated from the Effective Date rather than from the date of acquisition.
  2. The expiry rules for Promotional Credits apply to Promotional Credits granted on or after the Effective Date only. Promotional Credits granted before the Effective Date continue to be governed by the terms applicable at the time of grant.

DEFINITIONS

Credits” has the meaning given in the General Terms & Conditions, being digitised tokens which are hosted on the Platform and which may be exchanged for certain specified Services. Credits comprise Purchased Credits and Promotional Credits.

Credit Terms” means these Credit Terms, as may be updated from time to time in accordance with Section 7.

Effective Date” means 24th April 2026.

Inactivity Period” means, in relation to a User Account, a continuous period during which no Credits are added to, and no Credits are spent from, that User Account.

Promotional Credits” means Credits granted to a User by Fanvue without the User paying consideration for those Credits, including Credits issued through promotional codes, marketing campaigns, referral or loyalty schemes, goodwill adjustments, or any other mechanism by which Fanvue credits a User Account at its discretion.

Purchased Credits” means Credits acquired by a User in exchange for payment, including by way of a top-up to the User Balance.

User Balance” has the meaning given in the General Terms & Conditions.


1. NATURE OF CREDITS

  1. Credits are a limited, revocable, non-transferable, non-sublicensable licence to access and use digitised tokens on the Platform. Your acquisition, purchase, or receipt of Credits entitles you only to receive such a licence, and does not transfer to you any ownership interest, property right, or other proprietary interest in Credits.

  2. Credits:

    1. have no cash or stored value;
    2. do not constitute money, legal tender, or currency of any state, region, or any political entity;
    3. are not a general medium of exchange;
    4. are not a deposit, electronic money, or any other regulated payment instrument; and
    5. cannot be exchanged for cash, for any other currency, or for any goods or services outside the Platform.
  3. Credits are personal to the User to whom they are issued. Credits may not be:

    1. sold, assigned, gifted, transferred, or sublicensed to any other person or User Account;
    2. pledged, charged, or otherwise used as security; or
    3. transferred (a) upon death, (b) as part of a domestic relations matter, or (c) otherwise by operation of law.
  4. Credits may be used only on the Platform, for your personal, non-commercial use, and only in the manner permitted by these Credit Terms, the General Terms & Conditions, and other Fanvue Policies.

  5. Fanvue may modify, suspend, revoke, or terminate your licence to use Credits in accordance with these Credit Terms and the General Terms & Conditions, without notice, payment, or liability to you, except as expressly stated in these Credit Terms or as required by applicable law.

2. PURCHASING AND RECEIVING CREDITS

  1. Purchased Credits.

    1. You may acquire Purchased Credits by topping up your User Balance via the Platform using an accepted payment method. Accepted payment methods, the denominations available, and any applicable taxes or fees are shown to you before you complete a purchase.
    2. The conversion rate applied between the currency you pay in and the number of Credits added to your User Balance is as displayed on the Platform at the point of purchase. Fanvue may vary the conversion rate and the denominations of Credits available from time to time.
    3. Payments for Purchased Credits are processed in accordance with Section 3 (Paid for Services) of the General Terms & Conditions.
  2. Promotional Credits.

    1. Fanvue may, at its sole discretion, grant Promotional Credits to Users from time to time. Promotional Credits are granted as a gratuity and not in exchange for any payment by the User.
    2. You have no right or entitlement to receive Promotional Credits, and Fanvue is under no obligation to grant, continue, or repeat any promotional programme.
    3. Fanvue may, at its discretion, apply specific terms to a promotional programme, including (without limitation) eligibility criteria, minimum or maximum amounts, redemption methods, expiry dates, and restrictions on use. Where specific promotional terms are notified to you at or before the point of grant, those specific terms apply in addition to these Credit Terms. Where the specific promotional terms conflict with these Credit Terms, the specific promotional terms prevail to the extent of the conflict in relation to that Promotional Credit only.
    4. Fanvue may revoke, reduce, or cancel Promotional Credits at any time, in its sole discretion, including (without limitation) where Fanvue reasonably believes that the Promotional Credits were obtained or used in breach of these Credit Terms, in breach of the Acceptable Use Policy, or by fraudulent, deceptive, or abusive means.

3. USING CREDITS

  1. Credits may be used to acquire Paid-for Services made available on the Platform where Fanvue accepts Credits as a method of payment. The specific Paid-for Services for which Credits may be used, and the number of Credits required, are displayed on the Platform at the point of purchase.

  2. Consumption order. When you spend Credits, Credits are drawn down from your User Balance on a first-in, first-out basis, in the order in which they were added to or granted on your User Account (oldest Credits first), regardless of whether they are Purchased Credits or Promotional Credits.

  3. The number of Credits required for a Paid-for Service may vary over time and may be set by Fanvue, by the relevant Creative User, or by a combination of both, in accordance with the General Terms & Conditions and the Creator Terms.

  4. When Credits are spent on a Paid-for Service:

    1. the relevant Credits are immediately deducted from your User Balance;
    2. the licence granted to you in respect of those Credits terminates; and
    3. the relevant Paid-for Service is made available to you in accordance with the General Terms & Conditions and any other terms applicable to that Paid-for Service.
  5. You are responsible for monitoring your User Balance and for ensuring that Credits are used before they expire under Section 4. Fanvue is not responsible for any Credits that expire before you use them.

4. EXPIRY OF CREDITS

  1. Promotional Credits. Promotional Credits expire 90 days after the date on which they are granted to the User, unless a different period is specified in the specific terms of the promotional programme at or before the point of grant.

  2. Purchased Credits. Purchased Credits expire upon the completion of an Inactivity Period of 24 months in respect of the relevant User Account. Where Purchased Credits were acquired before the Effective Date, the Inactivity Period is calculated from the Effective Date rather than from the date of acquisition.

  3. Effect of expiry.

    1. Credits are deemed expired from the applicable expiry date, regardless of when Fanvue actually removes them from the displayed User Balance.
    2. Fanvue may remove expired Credits from a User Balance at any time after the expiry date, without further notice.
    3. A delay or failure by Fanvue to remove expired Credits at or immediately following the expiry date does not:
      1. entitle you to continued use of those Credits;
      2. create any waiver of Fanvue’s right to remove those Credits at a later date; or
      3. create any estoppel, representation, or implied term in your favour.
    4. Expired Credits cannot be reinstated except at Fanvue’s sole discretion.
  4. Local law override. Where applicable law in the User’s country of residence requires a longer minimum validity period, or prohibits the expiry of prepaid credits of the kind governed by these Credit Terms, that requirement applies in place of the periods set out in Sections 4.1 and 4.2. Fanvue may determine the User’s country of residence by reference to the billing country provided at the time of purchase and/or the IP country of the transaction, acting reasonably to identify the User’s actual country of residence.

  5. Pre-expiry notifications. Fanvue may, but is not obliged to, provide reminders or notifications to Users before Credits expire. The absence of any reminder does not affect the operation of the expiry rules in this Section 4.

  6. Account suspension, termination, or closure. In addition to the expiry rules above, Credits remaining in your User Balance at the time of suspension, termination, or closure of your User Account may be forfeited in accordance with the General Terms & Conditions and Section 6 of these Credit Terms.

5. REFUNDS AND NO CASH-OUT

  1. Credits, including Purchased Credits, cannot be redeemed, exchanged, or cashed out for money, other currency, or for any goods or services outside the Platform.

  2. The purchase price or other cost of the limited licence to use Credits is not refundable, transferable, or exchangeable, including (without limitation):

    1. upon expiry of the Credits under Section 4;
    2. upon suspension, restriction, termination, or closure of your User Account;
    3. upon termination of the General Terms & Conditions or these Credit Terms; or
    4. upon discontinuation by Fanvue of the Platform, the Services, or any Paid-for Service.
  3. Nothing in this Section 5 limits any rights that you have under applicable consumer protection law in your country of residence that cannot be contracted out of, including (where applicable) statutory rights of withdrawal, cancellation, or refund.

  4. Chargebacks and similar payment disputes in respect of Purchased Credits are governed by Section 3 (Paid for Services) of the General Terms & Conditions.

6. SUSPENSION, TERMINATION, AND REVOCATION

  1. Fanvue may suspend, restrict, revoke, reduce, or terminate your licence to use Credits, and may remove Credits from your User Balance, in any of the following circumstances:

    1. where you are in breach of these Credit Terms, the General Terms & Conditions, the Acceptable Use Policy, or any other applicable Fanvue Policy;
    2. where Fanvue reasonably suspects that the Credits were obtained or used through fraud, deception, chargeback abuse, money laundering, sanctions evasion, or other unlawful means;
    3. where required to do so by law, regulation, court order, or the direction of a regulatory authority; or
    4. where your User Account is suspended, restricted, or terminated, whether by you or by Fanvue, in accordance with the General Terms & Conditions.
  2. If your User Account is suspended, restricted, or terminated:

    1. your ability to use, spend, or receive Credits is suspended or terminated accordingly;
    2. any unused Credits in your User Balance may be forfeited in accordance with General Terms & Conditions – Section 16 (Account Suspension and Termination), unless a refund is required by law; and
    3. you have no claim for the value of forfeited Credits.
  3. Fanvue is not obliged to disclose the specific reasons for any suspension, restriction, or revocation of Credits, or for any removal of Credits from your User Balance, except where required by law.

7. CHANGES TO THESE CREDIT TERMS

  1. Your continued purchase, holding, or use of Credits after the effective date of an amendment constitutes your acceptance of the amended Credit Terms. If you do not accept an amendment, you should stop purchasing and using Credits and may contact Fanvue to discuss any unused balance.

8. GOVERNING LAW AND DISPUTES

  1. These Credit Terms are governed by the governing law and dispute resolution provisions set out in the General Terms & Conditions.

  2. Nothing in these Credit Terms excludes or limits any rights that you have under applicable consumer protection law in your country of residence that cannot be contracted out of.
